LANTEK Computers CC trading as MPLANET – Master Terms & Conditions (Hosting, Design, and Digital Services)
1. These Terms and Conditions to Prevail
1.1 These terms and conditions (hereinafter referred to as “this agreement”) shall, when read together with the subscriber’s application form and any schedule thereto, constitute the whole of the agreement between LANTEK Computers CC trading as MPLANET (hereinafter referred to as “MPLANET”) and the subscriber.
2. Payment and Billing
2.1 The charge for the subscriber’s entitlement to use the service on a monthly basis is a monthly fee, payable monthly in advance by the subscriber, to MPLANET.
2.2 The charge for the subscriber’s entitlement to use the service on an annual basis is payable in full in advance by the subscriber, to MPLANET. This amount is non-refundable.
2.3 MPLANET reserves the right to adjust service charges at their sole discretion. Existing subscribers will receive one month’s notice relating to price adjustments.
2.4 MPLANET provides subscription only via debit order, bank account, or credit card, except where prior arrangements have been approved.
2.5 If the client’s debit order bounces, MPLANET reserves the right to resubmit the debit order at any time.
2.6 If a hosted service is suspended due to non-payment, a reconnection fee must be paid before the service can be reinstated. Reconnection may take 48–72 hours.
2.7 Payment will otherwise be dealt with as per the general terms.
3. Termination
3.1 The agreement shall continue indefinitely and shall be terminated on the expiry of one calendar month’s written notice given by either party.
3.2 Cancellation by the client or MPLANET will result in any data being permanently removed from MPLANET’s servers. Clients are responsible for ensuring backups of all web content, email data, or other hosted data. MPLANET will not be liable for loss of data once the hosting contract has expired.
3.3 MPLANET reserves the right to terminate or suspend services for violations of terms, including non-payment, breach of security obligations, or content restrictions.
4. Subscriber’s Obligations
4.1 Payment Obligations: Subscribers must pay all agreed fees for domain registration, hosting services, initial setup, subscription fees, and any additional service charges.
4.2 Compliance with Laws and Regulations: Subscribers must comply with all applicable laws, regulations, and industry standards, including data protection, intellectual property rights, POPIA, and acceptable online conduct.
4.3 Accurate Information: Subscribers must provide accurate and up-to-date information when registering domains or hosting services, including correct contact details and truthful hosted content.
4.4 Security Responsibilities: Subscribers are responsible for account security, passwords, software updates, and promptly reporting security breaches.
4.5 Content Restrictions: Subscribers must not host illegal, infringing, or harmful content, including material violating copyright, promoting hate speech, or containing malware.
4.6 Resource Usage: Subscribers must use hosting resources responsibly. Excessive bandwidth or server overloading may incur additional fees.
4.7 Backup and Data Management: Subscribers are responsible for regular backups and maintaining access to their data. MPLANET may specify backup procedures and limitations.
5. Disclaimers, Limitations, and Indemnities
5.1 MPLANET will not be liable for any loss, damage, business interruption, or indirect, special, incidental, or consequential damages of any kind (including lost profits), arising directly or indirectly from the use or registration of domain names or actions taken by MPLANET in response to abuse of services.
5.2 The client indemnifies MPLANET against any loss arising from disputes, claims, or actions related to the client’s domain use, even if MPLANET was advised of potential damages.
5.3 MPLANET is not liable for data loss, corruption, loss of profits, contracts, operation time, or goodwill.
5.4 MPLANET may disclose information to registrars for public disclosure; the company is not liable for privacy claims arising from such disclosures.
5.5 The client warrants that domain registration does not infringe third-party rights and confirms the right to use the requested domain.
5.6 MPLANET cannot arbitrate domain disputes. If evidence shows a domain violates third-party rights, MPLANET may provide the complainant with client information. The client may continue using the domain until a court or competent authority directs otherwise.
5.7 MPLANET does not claim ownership of clients’ intellectual property hosted on its servers. All hardware remains MPLANET property.
5.8 Clients indemnify MPLANET against third-party claims related to services provided publicly or privately.
Takedown Notice Procedure:
In terms of Section 75 of the Electronic Communications and Transactions Act, ISPA can instruct MPLANET to perform a site takedown.

Upon receiving a takedown notice, MPLANET will:
- Notify the client promptly
- Allow reasonable time to remove infringing content
- Take down sites/services included in the notice
6. Website Design Packages
6.1 Contract Duration: Monthly packages have a minimum 24-month contract, after which they continue month-to-month.
6.2 Billing: Billing starts upon signing the contract, regardless of website launch status.
6.3 Hosting & Uptime: Websites hosted externally are outside MPLANET control; downtime or performance issues are not the company’s responsibility.
6.4 Ad-Hoc Design Work: Additional work outside agreed scope is billed separately at R550/hour.
7. Social Media Management Packages
7.1 Content & Approval: All client-supplied content must be proofread; MPLANET will not publish without approval.
7.2 Scheduled Posting: Posting depends on timely client approvals. MPLANET is not responsible for platform outages, restrictions, or content removal.
7.3 Paid Advertising: Paid campaigns (Google Ads, LinkedIn Boosting) are billed separately; ad spend is paid directly to platforms. MPLANET is not responsible for performance or algorithm changes.
8. SEO Services
- SEO aims to improve search visibility but cannot guarantee rankings or traffic.
- Clients must provide accurate content, metadata, and website access.
- MPLANET is not responsible for search engine algorithm changes.
9. Branding Services
- Logos, templates, and brand guidelines remain MPLANET property until full payment.
- MPLANET may showcase completed branding in its portfolio unless otherwise agreed.
- Clients may not reproduce branding assets without written consent prior to payment.
10. Scope of Work & Revisions
- All work follows the approved Scope of Work.
- Work outside scope may incur additional fees and extend timelines.
11. Hosted Services & Suspension
11.1 Email Delivery: Once suspended, incoming emails will bounce back to senders.
11.2 Data Responsibility: MPLANET is not responsible for data loss during suspension.
11.3 Reconnection: A reconnection fee applies; reactivation may take 48–72 hours once payment is received.
Please Note:
- Once suspended, all emails sent to your mailbox will bounce back to the sender.
- MPLANET cannot accept responsibility for any data loss during suspension.
- If your hosted service is suspended due to non-payment, a reconnection fee will be required before services can be reinstated. Reconnection may also take an additional 48 to 72 hours.
12. SEO, Digital Marketing, and Advertising Terms
- SEO, Google Ads, and social media campaigns aim to improve visibility but cannot guarantee rankings, traffic, or leads.
- Clients provide all content, approvals, and ad budgets.
- Paid campaigns are billed separately; ad spend goes directly to platforms.
- MPLANET is not liable for platform changes, algorithm updates, or campaign results.
13. Client Responsibilities (Digital Services)
- Timely approval of content, posts, and ads is required.
- Clients must ensure content is accurate and properly licensed for commercial use.
14. Intellectual Property & Ownership
- Ownership of design assets, source files, and branding transfers after full payment.
- MPLANET may showcase completed projects unless otherwise agreed.
- Stock imagery and templates are licensed for project-specific use only.
15. Payment Terms (Design & Digital Services)
- Monthly services billed in advance, due by the 1st of each month.
- Late payments may result in service suspension.
- Full payment required before delivering assets or transferring ownership.
16. Early Termination (Design & Digital Services)
- Cancelling within the 24-month term requires payment for remaining months.
- Completed work up to cancellation remains fully billable.
17. Limitation of Liability (Design & Digital Services)
- MPLANET is not liable for indirect, incidental, or consequential damages.
- Not responsible for third-party outages (Google, LinkedIn, Meta, hosting).
- No liability for penalties, algorithm updates, or ranking changes.
18. Confidentiality
Both parties agree to keep proprietary or sensitive information confidential.
19. Indemnity
Clients indemnify MPLANET against claims, damages, or expenses arising from content or materials supplied.
